These Terms of Service ("Terms") govern your access to and use of prismandspire.com and related subdomains (the "Site"), operated by prism+spire ("prism+spire," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. These Terms apply to your use of the Site only; any consulting or advisory engagement with prism+spire is governed by a separate signed agreement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM+SPIRE AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless prism+spire and its owners, employees, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any right of another party.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Philadelphia, Pennsylvania, and you consent to personal jurisdiction and venue there.
We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Site after changes take effect means you accept the updated Terms.
